BREATHION APP END-USER LICENSE AGREEMENT (EULA)

1. License Grant:

The Company grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App strictly in accordance with this EULA. This license is granted for use on any Apple-branded products that you own or control and as permitted by the App Store Terms of Service. The App is licensed, not sold.

2. Free Limited Version:

Breathion offers users a free limited version, enabling access to selected features of the App at no cost. The Company reserves the right to modify the scope of these features at any time without prior notice.

3. Subscription and Cancellation:

Users may opt for an optional monthly subscription, granting access to the full version and all advanced features of Breathion. Subscriptions are automatically renewed monthly through Apple's subscription system. You can cancel your subscription anytime via your Apple account settings. Upon cancellation, your subscription remains active until the end of the billing period; no refunds will be provided for partial billing periods.

4. Disclaimers:

Breathion is an innovative biofeedback app designed to help you naturally calm down and relax through deep abdominal breathing. It cannot replace any medical advice, diagnosis, treatment nor therapy whatsoever. Do not use it unless your physician formally confirms that it is safe for you. Before you start, make sure you are fully available and do not have to stay alert for any reason. If you experience any discomfort or unusual sensations, immediately stop and seek medical advice.

Again, Breathion is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider before using it, especially if you have existing medical conditions, respiratory problems, cardiovascular issues, or mental health concerns. Use Breathion at your own risk. The Company assumes no liability for adverse effects, discomfort, injury, or harm resulting directly or indirectly from your use of the App.

5. Intellectual Property Rights and Restrictions:

The App and all related intellectual property rights, including but not limited to content, graphics, audio, and software code, are owned exclusively by the Company and protected by intellectual property laws. Unauthorized reproduction, distribution, modification, or use of the App or its contents is strictly prohibited. You may not rent, lease, lend, sell, redistribute or sublicense the App. You may not copy, decompile, reverse-engineer, disassemble, or modify the App or any part thereof.

6. Data and Privacy:

Breathion does not collect, store, or transmit any personal data. All app usage data remains exclusively on your device. The App does not use any third-party analytics or tracking services.

7. Export Compliance:

You may not use or otherwise export or re-export the App except as authorized by the laws of the jurisdiction in which it was obtained and by applicable export control laws and regulations. In particular, but without limitation, the App may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons List or Entity List.

8. U.S. Government End Users:

The App and related documentation are "Commercial Items," as that term is defined at 48 C.F.R. Paragraph 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. Paragraph 12.212 or 48 C.F.R. Paragraph 227.7202, as applicable. Consistent with these provisions, the App is licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein.

9. Apple as Third-Party Beneficiary:

Apple Inc. is not a party to this EULA and shall have no responsibility for the App or its content. However, Apple and its subsidiaries are third-party beneficiaries of this EULA and, upon your acceptance of its terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

10. Liability Limitation:

In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, arising out of or related to your use or inability to use the App.

11. Governing Law and Jurisdiction:

This Agreement is governed exclusively by the laws of France. Any disputes, claims, or controversies arising from this EULA or your use of the App shall be subject to the exclusive jurisdiction of the courts of France.

12. Amendments:

The Company reserves the right to amend this EULA at any time. Continued use of the App after notification of changes constitutes acceptance of those amendments.

13. Acceptance:

By using Breathion, you acknowledge that you have read, understood, and agree to be bound by this EULA.
